These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Truethinks Ltd, a company registered in England and Wales ("Productrue", "we", "us", "our"), governing your access to and use of the Productrue platform and services.

Productrue is a Software as a Service (SaaS) platform providing business-to-business catalogue management solutions. Our services include:

• Product catalogue creation and management
• Custom product schema design
• Inventory and warehouse management
• Order processing and tracking
• Catalogue sharing and distribution
• Data import and export functionality
• Customer relationship management

3. Account Registration

3.1 Eligibility

To use our platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable law
• Provide accurate and complete registration information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access
• Using strong passwords and enabling two-factor authentication where available

4. Acceptable Use Policy

You may use Productrue for lawful business purposes in accordance with these Terms and your subscription plan.

You must not:

• Upload or transmit any unlawful, harmful, threatening, abusive, or defamatory content
• Infringe upon intellectual property rights of others
• Attempt to gain unauthorised access to our systems or other users' accounts
• Use automated tools to scrape, harvest, or extract data
• Interfere with or disrupt the platform's operation
• Transmit viruses, malware, or other harmful code
• Use the platform for any illegal or fraudulent purposes
• Resell or redistribute our services without authorisation

5. Subscription and Payment

5.1 Subscription Plans

We offer various subscription plans with different features and limitations. Details of current plans are available on our website.

5.2 Payment Terms

• All fees are quoted in GBP unless otherwise stated
• Payments are due in advance on a monthly or annual basis
• All prices are exclusive of VAT, which will be added where applicable
• We accept payment by credit/debit card and bank transfer

5.3 Cancellation and Refunds

In accordance with the Consumer Rights Act 2015:

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• Refunds for annual subscriptions are available on a pro-rata basis within 14 days of purchase
• No refunds are available after the 14-day cooling-off period

6. Data and Content

You retain all ownership rights to the content and data you upload to Productrue ("Your Content"). By uploading content, you grant us a limited licence to host, store, and display Your Content solely for the purpose of providing our services.

6.2 Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for full details.

6.3 Data Export

You may export Your Content at any time. Upon termination, you will have 30 days to export your data before it is permanently deleted.

7. Intellectual Property

7.1 Our Intellectual Property

Productrue, including its software, design, logos, and documentation, is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and international treaties.

7.2 Limited Licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the platform for your internal business purposes.

8. Service Availability

We aim to provide 99.9% platform availability. However, we do not guarantee uninterrupted access and may suspend services for:

• Scheduled maintenance (with reasonable notice)
• Emergency repairs
• Circumstances beyond our reasonable control

9. Limitation of Liability

9.1 Exclusions

To the maximum extent permitted by law, we shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use of third-party services
• Events beyond our reasonable control (force majeure)

9.2 Cap on Liability

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

9.3 Consumer Rights

Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.

You agree to indemnify and hold harmless Productrue and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of any applicable law
• Your infringement of third-party rights

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings.

11.2 Termination by Us

We may suspend or terminate your account if you:

• Breach these Terms
• Fail to pay applicable fees
• Engage in fraudulent or illegal activity

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Continued use of the platform after changes constitutes acceptance of the new Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For consumers, this does not affect your right to bring proceedings in the courts of your country of residence.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Productrue
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
